These Terms and Conditions (“Terms”) constitute a legally binding agreement between Moovmynt Technology Inc. (“Moovmynt,” “MVMT,” “MoovAI,” “We,” “Our,” or “Us”) and you (“User,” “You,” or “Your”), governing Your access to and use of Our website, applications, software, tools, and services (collectively, the “Service”).

By accessing or using the Service, You agree to comply with and be bound by these Terms. If You do not agree, You must immediately cease using the Service.

1. Interpretation and Definitions

Interpretation: Words with initial capital letters have meanings defined in this section. The same meaning applies whether singular or plural.

Definitions

• Account – a unique registration created by You to access the Service.
• Affiliate – any entity controlling, controlled by, or under common control with Moovmynt Technology Inc.
• Applicable Law – all laws, regulations, and rules of Canada, the Province of British Columbia, and any applicable international standards.
• Company – Moovmynt Technology Inc.
• Content – any information, text, data, media, software, graphics, or materials posted, uploaded, transmitted, or otherwise made available on or through the Service.
• Device – any device (computer, smartphone, tablet, etc.) capable of accessing the Service.
• Feedback – suggestions, comments, or input provided by Users regarding the Service.
• Intellectual Property Rights – all copyrights, patents, trademarks, trade secrets, know-how, and proprietary rights recognized worldwide.
• Third-Party Services – external websites, applications, or integrations accessible through the Service.
• User Content – content submitted, uploaded, or otherwise provided by Users.

2. Acknowledgment

These Terms govern Your use of the Service and form the entire legal agreement between You and Moovmynt. Access and use are conditioned upon Your compliance with these Terms.

By using the Service, You represent and warrant that You:

• Are at least 18 years old (or the age of majority in Your jurisdiction).
• Have the legal capacity to enter into these Terms.
• Will comply with all Applicable Laws in connection with Your use of the Service.

3. User Accounts

You must register an Account to access certain features. You agree to provide accurate, current, and complete information. You are solely responsible for safeguarding Your credentials and for all activity under Your Account.

Moovmynt may suspend, disable, or terminate Accounts without notice for:

• Breach of these Terms.
• Fraudulent or unlawful activity.
• Conduct that may harm Moovmynt, its Users, or reputation.

4. User Content and Conduct

Rights and License
You retain ownership of Your User Content. By submitting User Content, You grant Moovmynt a perpetual, worldwide, royalty-free, sublicensable license to use, host, reproduce, distribute, and display such content for operation, improvement, and promotion of the Service.

Restrictions: You agree not to:

• Post unlawful, defamatory, obscene, misleading, or harmful Content.
• Upload Content infringing third-party Intellectual Property Rights.
• Distribute malware, viruses, or malicious code.
• Engage in harassment, impersonation, or fraudulent behavior.
• Interfere with Service operation or security.

Moovmynt reserves the right to remove or restrict any Content that violates these Terms or Applicable Law.

5. Intellectual Property

The Service, including but not limited to software, databases, algorithms, and designs, are proprietary to Moovmynt. All Intellectual Property Rights in the Service remain vested in Moovmynt or its licensors. Unauthorized reproduction, modification, distribution, or reverse engineering is strictly prohibited. Moovmynt’s trademarks, logos, and trade dress may not be used without prior written consent.

6. Copyright Infringement (DMCA Policy)

If You believe Content on the Service infringes Your copyright, notify Us at info@moovmynt.com with:

• A physical/electronic signature of the copyright holder or authorized agent.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the infringing material and its location.
• Contact information (address, phone, email).
• A good faith statement that use of the material is unauthorized.
• A sworn statement under penalty of perjury confirming accuracy.

7. Third-Party Services

The Service may include links or integrations with Third-Party Services. Moovmynt has no control over and assumes no liability for Third-Party Services. Use of Third-Party Services is solely at Your own risk.

8. Payment, Fees, and Subscriptions

Certain features require payment of fees. All payments are final and non-refundable unless required by law. Moovmynt reserves the right to adjust pricing or subscription models at its discretion.

9. Termination

Moovmynt may terminate or suspend access without prior notice if You breach these Terms or engage in unlawful conduct. Upon termination:

• All rights granted under these Terms immediately cease.
• You remain responsible for obligations accrued before termination.

10. Limitation of Liability

• Moovmynt shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, goodwill, data, or business opportunities.
• In all cases, Moovmynt’s liability shall not exceed the greater of: CAD $100; or Fees paid by You in the 12 months preceding the claim.

11. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. Moovmynt disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will operate uninterrupted or error-free.
• Content will be accurate, reliable, or complete.
• The Service will be secure or free from malware.

12. Indemnification

• Your use of the Service.
• Your violation of these Terms.
• Your infringement of third-party rights.

13. Force Majeure

Moovmynt shall not be liable for failure to perform obligations where such failure results from causes beyond reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, internet outages, or government actions.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. You agree to submit to the exclusive jurisdiction of the courts of British Columbia, Canada.

15. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Failure by Moovmynt to enforce any provision does not constitute a waiver of enforcement rights.

16. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between You and Moovmynt and supersede all prior agreements regarding the Service.

17. Changes to Terms

Moovmynt reserves the right to amend these Terms at any time, at its sole discretion. Changes will be posted on the Website with an updated “Last Updated” date. Continued use of the Service after updates constitutes acceptance.
